Rana Abdalla, Vice President:
Undisclosed Conflicts of Interest
Rana Abdalla is Vice President of the FHOC Board and has simultaneously been providing contractor proposals for construction work at Fordham Hill. This is a direct conflict of interest that was never disclosed to shareholders.
The Board's own "blind bidding" evidence, intended as a defense, actually revealed the conflict. One of the bids Rana was involved with included a clause stating the vendor would "accept payment when apartment is sold." No independent contractor would agree to such terms, making it obvious which bid originated from her.
New York State Business Corporation Law requires board members to disclose conflicts of interest. The required annual financial disclosures under BCL Section 727 that would have surfaced this information were never provided to shareholders.
To date, the Board has still never officially disclosed this arrangement, despite Rana engaging in direct business proposals with the corporation for the past three years.
Matthew Mbamelu, Board President:
Brokering Deals in Violation of Bylaws
Matthew Mbamelu is a licensed real estate broker who is actively listing and brokering deals involving Fordham Hill apartments while serving as Board President.
The FHOC Bylaws plainly state that board members must refrain from deriving a personal benefit from their position. This includes earning commissions on real estate transactions at the co-op.
The Board's defense was to share an email about a single older transaction that Matthew "disclosed" to the board. But disclosure alone does not satisfy the bylaws. The bylaws prohibit deriving personal benefit, full stop. Matthew currently has at least two active Fordham Hill listings. He has not addressed how brokering deals while serving as President complies with the bylaws.
Tiffany Hart, Board Member:
A Pattern of Absences
Tiffany Hart was elected to the Board in 2020 and has missed a significant number of meetings since. Her documented absences from Board meetings include:

At Candidates Night in June 2025, Tiffany admitted she lives in Delaware. Her apartment was listed for sale for years before recently being taken down.
Her first in-person attendance at a Shareholder Meeting since being elected was February 28, 2026, nearly six years later. At that meeting she arrived late, left early, and physically confronted former Board President and elder statesman Charles Williams, attempting to take the microphone from him and demanding security be called on him.
Under the bylaws, this pattern of absences should have triggered disqualification from running for re-election. The Election Committee failed to enforce it.
