Can the Board penalize me for signing the proxy or petition?

Absolutely not. Signing a Special Meeting Request and proxy is your legal right under New York State Business Corporation Law and the FHOC Bylaws. No board member, management employee, or fellow shareholder can punish, penalize, or retaliate against you for participating in the governance of your own co-op. We have received reports of shareholders being approached and told they will face "penalties" for signing, and of people being pressured not to participate. This is false and it is illegal. We will defend you and we will take legal action against anyone who retaliates against a shareholder for exercising their rights.

Does signing the proxy transfer ownership of my apartment or shares?

Accepted Answer

No. Signing the proxy does not affect your ownership in any way. It simply ensures your vote is counted at the Special Meeting if you cannot attend in person. That is all it does. You can revoke your proxy at any time by submitting a new one, by writing a revocation letter, or by attending the Special Meeting in person and voting directly.

Why has the Board sent three official notices about this campaign in two weeks?

Because the campaign is working. The Board has spent your maintenance dollars printing and mailing three notices on co-op letterhead. These notices were not about the buildings with no gas, the $54 million in debt, or the maintenance increases. They were about our campaign. If everything were fine, they would not be this defensive. Ask yourself why they are spending your money to stop fellow shareholders from asking questions.

The Board says they are a "new board" and need more time. Is that true?

No. Esteban and Tiffany have been on the Board since 2020. Rana, Juan, and Karolina since 2023. Matthew is the only member who joined in 2025, and he immediately maneuvered himself into the President position. This is not a new board. They have had years. And they have spent those years not providing legally required disclosures, not following their own bylaws, and letting the financial situation deteriorate.

Letting it expire speaks volumes about leadership's priorities and competence. Meanwhile, they have spent money on three printed notices in two weeks to discredit fellow shareholders.

It is the standard, legal way to change a board when there are major issues like the ones we have described in this website.

Signing the proxy costs you $0. In fact, our goal is to save you money by freezing maintenance and cutting wasteful spending. The only people spending money right now are the current board, who are using your maintenance fees to pay for lawyers to fight us.

Because we are losing money every day. Maintenance increases are permanent, and the current board has already signaled more hikes. Waiting another year could cost shareholders thousands of dollars in new fees and lost property value. We need to stop the bleeding now.
